TERMS OF SERVICE

By accessing or using the Mygom SEO website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

By creating an account or using the Service, you represent that you are at least 16 years of age (or the age of digital consent in your jurisdiction) and have the legal capacity to enter into these Terms.

For the purposes of these Terms:

• "Service" means the Mygom SEO website audit and analysis platform accessible at mygomseo.com, including all features, tools, and APIs.
• "User," "You," "Your" means any individual or entity accessing or using the Service.
• "Account" means a registered user account with associated email and credentials.
• "Subscription" means a paid plan (Starter, Growth, or Scale) providing access to premium features.
• "Trial Period" means the 3-day evaluation period for new subscriptions.
• "Content" means data, reports, analyses, and materials generated through the Service.
• "Personal Data" means information relating to an identified or identifiable natural person.
• "We," "Us," "Our" means Mygom.tech, MB, a company registered in Lithuania.

Mygom SEO provides automated website analysis, SEO scoring, AI-powered content optimization, and recommendation reports. The Service includes:

• Website SEO audits and scoring
• AI-powered content analysis and optimization
• Technical SEO checks and recommendations
• Competitor analysis tools
• Report generation and export

The Service is provided "as is" and is intended for informational purposes only. We do not guarantee that following our recommendations will result in improved search engine rankings or traffic.

To access certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Promptly update your account information if it changes.
• Accept responsibility for all activities that occur under your account.
• Not share your account with others or allow unauthorized access.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these requirements, contain false information, or are suspected of fraudulent activity.

New users may be eligible for a free trial period under the following conditions:

• Duration: The trial period lasts 3 days from account activation.
• Features: Trial includes access to up to 3 articles/reports during the trial period.
• Payment Method: A valid payment method is required to start the trial for verification purposes only.
• No Charge During Trial: You will not be charged during the trial period.
• Automatic Conversion: Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the applicable rate.
• One Trial Per User: Free trials are limited to one per person, household, or payment method.

You may cancel your trial at any time before it ends through your account settings. Upon cancellation, you will retain access until the trial period expires.

A. Billing Cycles

• Subscriptions are billed monthly in advance.
• Billing cycles begin on the date of your initial subscription or trial conversion.
• All prices are displayed in EUR (default) or USD, excluding applicable taxes.

B. Automatic Renewal

• Your subscription will automatically renew at the end of each billing period.
• You authorize us to charge your payment method on file for each renewal period.
• We will notify you of any price changes at least 30 days before they take effect.

C. Plan Changes

• You may upgrade or downgrade your plan at any time through your account settings.
• Upgrades take effect immediately with prorated charges.
• Downgrades take effect at the start of the next billing cycle.

D. Payment Processing

• All payments are processed securely through Stripe.
• We accept major credit cards and other payment methods supported by Stripe.
• You are responsible for providing accurate billing information.
• Failed payments may result in suspension of service until payment is resolved.

A. Cancellation

• You may cancel your subscription at any time through your account settings.
• Upon cancellation, you will retain access to paid features until the end of your current billing period.
• Cancellation takes effect at the end of the current billing cycle; no partial month refunds are provided.
• Your data will be retained for 30 days after cancellation, after which it may be deleted.

B. Refunds

• We do not offer refunds for partial billing periods or unused service time.
• Refunds may be considered on a case-by-case basis for technical issues that prevented service usage.
• To request a refund, contact us at info@mygom.tech within 14 days of the charge.

C. Account Termination by Us

If we terminate your account for violation of these Terms, you are not entitled to a refund for any prepaid but unused service period.

Each subscription plan includes specific usage limits:

• Starter: 10 articles/reports per month
• Growth: 30 articles/reports per month
• Scale: 60 articles/reports per month

You agree to use the Service in accordance with our Fair Use Policy:

• Not to exceed reasonable rate limits when accessing our API or scanning URLs.
• Not to use automated tools to circumvent usage limits.
• Not to resell or redistribute Service access to third parties without authorization.
• Not to use the Service in any way that could damage, disable, or impair our infrastructure.
• Not to share account credentials to circumvent per-user licensing.

We reserve the right to throttle, suspend, or terminate accounts that violate fair use principles or consume disproportionate resources.

You agree to:

• Use the Service only for lawful purposes.
• Scan only websites that you own or have explicit permission to analyze.
• Not use the Service to harass, overload, or disrupt third-party websites.
• Not attempt to reverse engineer, decompile, or exploit our API/backend infrastructure.
• Not upload malicious code, viruses, or harmful content.
• Not impersonate others or misrepresent your affiliation with any person or entity.
• Comply with all applicable laws and regulations in your jurisdiction.

We reserve the right to terminate or suspend access to our Service immediately, without prior notice, for any violation of these Terms.

The Service and its original content (excluding user-generated reports), features, and functionality are and will remain the exclusive property of Mygom.tech, MB. This includes:

• Software, algorithms, and underlying technology
• Website design, graphics, and user interface
• Trademarks, logos, and brand elements
• Documentation and training materials

The Service is protected by copyright, trademark, and other laws of Lithuania and foreign countries. You may not copy, modify, distribute, or create derivative works based on our intellectual property without express written permission.

Your Content: You retain ownership of any content you submit to the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service to you.

By using the Service, you acknowledge that we will process certain data as described in our Privacy Policy.

• We act as the Data Controller for your personal data (email, account information).
• We act as the Data Processor for website data you submit for analysis.
• We process data in accordance with GDPR and applicable data protection laws.
• We implement appropriate technical and organizational security measures.

The Service utilizes artificial intelligence ("AI") technologies to generate content, insights, and recommendations.

A. No Guarantee of Accuracy (Hallucinations)

You acknowledge that AI models are experimental and may produce inaccurate, incomplete, or fabricated information ("hallucinations"). We do not guarantee the accuracy, quality, or reliability of any AI-generated output. You are solely responsible for reviewing and verifying all AI-generated content before using, publishing, or relying on it.

B. Ownership of AI Output

As between you and us, you own the output generated by the Service based on your inputs ("Generated Content"), to the extent permitted by applicable law. We hereby assign to you all our right, title, and interest in and to such Generated Content.

C. Input License

You represent that you own or have the necessary rights to use the input data you provide to the AI services. You grant us a license to process your inputs solely for the purpose of providing the Service.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided with commercially reasonable uptime.

• Target Availability: We target 99.5% monthly uptime, excluding scheduled maintenance.
• Scheduled Maintenance: We will provide at least 24 hours notice for planned maintenance when possible.
• Unscheduled Downtime: We will make reasonable efforts to restore service promptly and communicate status updates.
• Force Majeure: We are not liable for downtime caused by circumstances beyond our reasonable control.

This is not a legally binding Service Level Agreement. For enterprise SLA requirements, please contact our sales team.

The Service integrates with trusted third-party services to provide core functionality, including:

• Payment Processing: Secure handling of billing and subscriptions.
• Cloud Infrastructure: Hosting, database, and backend services.
• AI Providers: Large Language Models (LLMs) for content generation and analysis.
• Email Services: Transactional email delivery.
• Analytics: Service usage tracking (subject to consent).

We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

PLEASE READ CAREFULLY

To the maximum extent permitted by applicable law, in no event shall Mygom.tech, MB, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses;
• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service;
• Unauthorized access, use, or alteration of your transmissions or content.

Liability Cap: Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) fifty euros (EUR 50) or (b) the total amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Mygom.tech, MB, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service;
• Your violation of these Terms;
• Your violation of any third-party rights, including intellectual property rights;
• Any content you submit, post, or transmit through the Service;
• Your scanning of websites you do not own or have permission to analyze;
• Your violation of any applicable laws or regulations.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Mygom.tech, MB does not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location;
• Any errors or defects will be corrected;
• The Service is free of viruses or other harmful components;
• The results of using the Service will meet your requirements;
• SEO recommendations will result in improved rankings or traffic.

A. Informal Resolution

Before filing a formal legal claim, you agree to contact us at info@mygom.tech to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

B. Arbitration Agreement

If informal resolution fails, any dispute arising from these Terms shall be resolved by binding arbitration in Kaunas, Lithuania, in accordance with Lithuanian arbitration rules. This does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.

C. Opt-Out Right

You may opt out of the arbitration agreement by sending written notice to info@mygom.tech within 30 days of accepting these Terms. Include your name, email address, and a clear statement that you decline arbitration.

D. Class Action Waiver

All disputes must be brought in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.

E. Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from courts for matters related to intellectual property rights or unauthorized access to the Service.

We reserve the right to modify these Terms at any time. When we make changes:

• Material Changes: We will provide at least 30 days' notice via email or prominent notice on the Service before material changes take effect.
• Non-Material Changes: Minor changes may be made without advance notice.
• Effective Date: Changes are effective on the "Last Updated" date shown at the top of these Terms.

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you disagree with the changes, you may cancel your subscription before they take effect.

These Terms shall be governed and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions.

For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is found unenforceable, the remaining provisions will remain in effect.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to reflect the parties' original intent as closely as possible.
